Among Other Folketrygdfondet and GIC Participate in Secondary Sale of Visma

Visma is a software provider to private and public companies in Europe. Visma conducted a secondary sale to investors. These investors that participated include, Aeternum Capital, Government Pension Fund Norway (Folketrygdfondet), Vind, and Singapore’s GIC Private Limited. The transaction values Visma at 16 billion euros.

Following completion of the transaction, Hg will continue to own a majority stake in Visma, alongside a group of co-investors comprising GIC, ICG, CPP Investments, General Atlantic, TPG, Warburg Pincus, Visma management, and the new investors.

Advisors
ABG Sundal Collier and Goldman Sachs International acted as joint placement agents in the transaction, with Ropes & Gray, Skadden and Wiersholm acting as legal advisers.

Pre-Deal Owners of Visma
Hg and co-investors own around 54%, GIC owns ~17%, ICG owns ~7%, CPPIB owns ~6%, Warburg Pincus owns ~5%, TPG owns ~3%, and General Atlantic owns ~2%. A broad management group holds roughly 7% of the shareholder equity in Visma. In addition to the stability of the principal owners, key shareholders have co-investors comprised of large Nordic and international pension funds.
