Ontario Teachers’ Eyeing €1.25 Billion in Debt Issuance

Ontario Teachers’ Finance Trust (OTFT) is raising debt in a Rule 144A/Reg S bond offering under its global debt program of €1.25 billion, 1.85% senior notes due 2032 guaranteed by the Ontario Teachers’ Pension Plan Board. Ontario Teachers’ Finance Trust is an unincorporated closed-end trust that was established under the laws of the Province of Ontario, whose beneficiaries are wholly owned subsidiaries of Ontario Teachers’ Pension Plan Board.

The joint bookrunning managers for the offering are Barclays Bank PLC, BNP Paribas, Merrill Lynch International, and The Toronto-Dominion Bank. The co-managers for the offering are Crédit Agricole Corporate and Investment Bank, Goldman Sachs International, HSBC Continental Europe, and Morgan Stanley & Co. International plc. The transaction launched on April 24, 2022, priced on April 25, 2022, and is expected to close on May 3, 2022.
